These Terms of Service ("Terms") govern your access to and use of the Page Africa website, mobile applications, and related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. About Page Africa

Page Africa operates a digital infrastructure that connects individuals, businesses, designers, printers/print operators, suppliers, and manufacturers across Africa's printing, packaging, and creative ecosystem. The Platform enables discovery, professional networking, procurement, job matching, project management, payments, escrow, and related services.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into contracts to use the Platform. You are responsible for providing accurate, complete, and current information during registration and for keeping your account credentials secure. You are responsible for all activity that occurs under your account.

Page Africa accounts are personal to the registered user. You may not transfer, sell, or share your account without our prior written consent. We reserve the right to suspend or terminate accounts that contain false information, are inactive for extended periods, or violate these Terms.

3. Roles and Responsibilities

The Platform supports several user roles. Your role is selected during onboarding and determines the features and workflows available to you. Role selection is permanent for each account.

Individuals browse, discover, save, and purchase services.
Designers showcase creative work, respond to opportunities, and deliver design services.
Printers / Operators manage production capacity, list services, and fulfil print and production orders.
Suppliers list materials, equipment, and industrial supplies for B2B commerce.
Manufacturers manage industrial builds, milestones, and production partnerships.
Businesses discover trusted partners, compare providers, and manage procurement relationships.
Corporate Buyers use dedicated enterprise procurement tools, RFQ workflows, and team permissions.

Each user is responsible for representing their role accurately, maintaining the completeness of their profile, and performing their obligations in any transaction or engagement entered into through the Platform.

4. Business Profiles and Verification

Service providers may create business profiles that describe their capabilities, portfolio, pricing, and availability. You warrant that all information in your business profile is accurate, complete, and not misleading. Misrepresentation of business identity, credentials, capabilities, or verification status is prohibited and may result in account suspension, termination, or legal action.

Page Africa may offer verification badges based on document review, third-party checks, or other criteria. A verification badge does not constitute an endorsement, guarantee of quality, or insurance of any kind. We reserve the right to grant, modify, or revoke verification at our sole discretion.

5. Marketplace, Payments, and Escrow

The Platform facilitates connections between buyers and service providers. Where transactions are processed through Page Africa or integrated payment partners, you agree to comply with the applicable pricing, invoicing, and payment terms displayed at the point of transaction. Payment processing, including wallet funding, withdrawals, and transaction fees, is subject to the terms of our payment partners and any additional terms presented during checkout.

Certain transactions may be supported by an escrow arrangement to protect both parties. Funds are released in accordance with the milestone, delivery, or dispute resolution terms agreed at the start of the transaction. You agree to cooperate with any escrow verification, dispute review, or release process. Page Africa is not a party to every contract between users and is not liable for non-performance by buyers or sellers, except as expressly provided in these Terms or applicable law.

6. Jobs, RFQs, Bids, and Proposals

Users may post jobs, request quotations, submit bids, and enter into professional engagements. All postings must be accurate, lawful, and compliant with our content policies. Bids and proposals are binding offers once accepted in accordance with the Platform's workflow. Users are solely responsible for negotiating, executing, and performing their contracts. Page Africa does not guarantee the availability, quality, or suitability of any bidder or proposal.

7. Corporate Procurement

Corporate buyer accounts may access multi-round RFQs, purchase orders, team permissions, and dedicated invoicing tools. Authorised account administrators are responsible for managing access permissions, approving expenditures, and ensuring compliance with their organisation's procurement policies. Corporate transactions are subject to the applicable subscription, service, or enterprise agreement in addition to these Terms.

8. Reviews and Reputation

Reviews and ratings on the Platform are based on verified transactions where applicable. You agree to provide honest, accurate, and non-defamatory feedback. You may not manipulate reviews, solicit fake feedback, or retaliate against other users through the review system. We reserve the right to remove reviews that violate our policies or applicable law.

9. User Conduct and Prohibited Activities

You agree not to use the Platform for any unlawful, fraudulent, abusive, or harmful purpose. Specifically, you must not:

Violate any applicable law, regulation, or third-party right.
Impersonate any person or misrepresent your identity, affiliation, or qualifications.
Post or transmit false, misleading, defamatory, obscene, threatening, or harassing content.
Use the Platform to distribute malware, spam, phishing links, or other harmful code.
Circumvent payment, escrow, or fee structures by transacting outside the Platform.
Scrape, harvest, or collect user data without authorisation.
Interfere with the operation of the Platform or other users' accounts.
Engage in discriminatory, exploitative, or deceptive business practices.

We reserve the right to investigate, suspend, terminate, or take legal action for violations of these rules.

10. Content and Intellectual Property

You retain ownership of content you create and upload to the Platform, including portfolio items, business descriptions, and communications. By uploading content, you grant Page Africa a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating, promoting, and improving the Platform.

The Page Africa name, logo, trademarks, software, and platform design are owned by Page Africa or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written permission.

11. Dispute Resolution

Disputes between users should first be addressed directly through the Platform's messaging and dispute tools. Where Page Africa provides dispute resolution assistance, our decisions are made in good faith based on the information available and are not legal judgments. Users agree to cooperate with any dispute review process and to comply with final determinations.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration or the courts of competent jurisdiction in Nigeria, as applicable.

12. Termination and Suspension

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms, harms other users, or is otherwise harmful to Page Africa. Upon termination, your right to use the Platform immediately ceases, but provisions relating to intellectual property, payments, disputes, liability, and indemnification shall survive.

13. Warranties and Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

14. Limitation of Liability

To the maximum extent permitted by law, Page Africa and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Platform or any transaction between users. Our total liability to you for any claim arising out of these Terms or the Platform shall not exceed the amount you paid to Page Africa in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Page Africa and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your content, your transactions, or your violation of these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of competent jurisdiction in Nigeria, unless otherwise agreed in writing.

17. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with a new "Last updated" date. Material changes may be communicated to you through the Platform or by email. Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.
